Terms of Service — Winline CRM

Account: A Customer’s tenant and associated user seats.

Authorized User: An individual invited by Customer (e.g., employees, contractors) to use the Service.

Customer Data: Data uploaded to or collected within the Service at Customer’s direction (e.g., contacts, leads, notes, files, email settings, audit trails).

Service Data: Operational data we generate to run, secure, and bill for the Service (e.g., logs, metrics, device/usage info).

Order: Any sign-up, plan selection, quote, or order form referencing these Terms.

Documentation: Online docs, admin settings, and usage guidance made available by Winline.

Tenant admins configure roles/permissions and are responsible for Authorized Users’ actions and compliance.

You must keep credentials and API keys confidential. You will promptly notify us of any unauthorized access to your Account.

You must provide accurate business information and keep it updated.

Subject to these Terms and your Order, Winline grants Customer a limited, non-exclusive, non-transferable, revocable right for Authorized Users to access and use the Service for your internal business purposes during the Subscription Term.

You will not, and will not allow anyone to:

• Violate laws or rights of others; upload unlawful, infringing, or harmful content.
• Probe, scan, or test the vulnerability of the Service; circumvent security or rate limits.
• Reverse engineer, decompile, or copy any part of the Service except to the extent permitted by law.
• Use the Service to send spam or unsolicited messages, or to operate high-risk activities.
• Misuse APIs (e.g., bypassing auth, reselling keys, scraping at scale).
• Interfere with other tenants’ use or the Service’s integrity or performance.

We may suspend or throttle access for AUP violations, security risks, or non-payment.

Ownership: Customer retains all rights to Customer Data.

Processor role: For Customer Data, Winline acts as processor/service provider and processes only per Customer’s instructions and these Terms.

Privacy: Our Privacy Policy explains how we handle personal data and Service Data.

Data location & transfers: We may process data where we or our sub-processors operate, using appropriate safeguards as required by law.

Backups & export: We maintain rolling backups. Admins can export data using in-app tools or APIs.

Retention after termination: We will delete your data immediately; you are requested to take a backup of your data before termination of your account.

If you require a Data Processing Addendum (DPA) or regional terms (e.g., GDPR SCCs, India DPDP), we will provide one on request; signed DPAs form part of your Agreement.

We implement industry-standard administrative, technical, and organizational measures (e.g., TLS in transit, isolation of tenants, role-based access, logging, backups, vulnerability management). No system is 100% secure; you are responsible for securing your endpoints, credentials, SMTP/API settings, and for configuring roles appropriately.

The Service may enable connections to third-party services (e.g., email/SMS gateways, storage, analytics, reCAPTCHA). Use of third-party services is at your option and governed by those providers’ terms and privacy policies. We are not responsible for third-party services or content.

Plans & fees: Fees are set in your Order or pricing page and are billed in advance unless stated otherwise.

Usage: Certain features may have usage limits; overages may be billed per the pricing plan.

Taxes: Fees are exclusive of taxes; you are responsible for applicable taxes, duties, and withholdings.

Trials: If you use a free or trial plan, the Service is provided “as is” with limited or no SLA. We may end a trial or free tier at any time.

Changes: We may modify pricing or plans prospectively; we’ll notify admins in advance for renewals.

Note: “No fees are currently charged; we will update these Terms prior to enabling paid plans.”

Term: These Terms start on the earlier of Account creation or first use and continue during the Subscription Term.

Renewal: Subscriptions renew per the Order unless either party gives notice of non-renewal.

Termination for cause: Either party may terminate for material breach not cured within 30 days after written notice, or immediately for unlawful use or data/security risks.

Effect: Upon termination, your access ends; data handling follows Section 5. Accrued fees remain due.

We may improve or modify features, UIs, or APIs. We aim to notify you in advance of backward-incompatible API deprecations and provide a migration path where practicable.

Availability/SLA: If your Order includes an uptime SLA, it will govern credits and exclusions (e.g., scheduled maintenance, force majeure, third-party failures beyond our control). Otherwise, the Service is provided without an SLA on free/trial tiers.

Use API keys securely and only within your tenant. Do not exceed documented rate limits or cause unreasonable load. We may monitor API usage for security and operations and may suspend keys that violate these Terms.

Winline and its licensors own all IP in the Service and Documentation. No rights are granted except as expressly stated.

If you submit Feedback (ideas, requests, suggestions), you grant Winline a worldwide, perpetual, irrevocable, royalty-free license to use it without restriction.

Each party may access the other’s Confidential Information (non-public information designated confidential or reasonably understood as confidential). A receiving party will use such information only to perform under these Terms, protect it with reasonable care, and disclose it only to those who need to know and are bound by confidentiality obligations. Exclusions apply for information that is public, independently developed, or lawfully obtained.

We warrant that the Service will perform substantially in accordance with the Documentation. Your exclusive remedy for breach of this warranty is repair, replacement, or, if we cannot cure, a prorated refund for the affected period.

Except as expressly stated, the Service is provided “as is” and “as available”, and we disclaim all other warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

By Winline: We will defend and indemnify Customer against third-party claims alleging that the Service (as provided by us) infringes a valid IP right, and pay damages finally awarded, provided you promptly notify us and cooperate. We may modify the Service to avoid infringement or terminate the impacted feature with a refund of prepaid fees for the remaining term.

By Customer: You will defend and indemnify Winline against claims arising from (a) Customer Data or content you provide, (b) your unlawful use or violation of these Terms, or (c) combinations or uses of the Service not permitted by the Documentation.

To the maximum extent permitted by law:

• Indirect damages: Neither party is liable for indirect, incidental, special, consequential, or punitive damages, or lost profits, revenues, or data, even if advised of the possibility.
• Cap: Each party’s total liability arising out of or related to the Agreement is limited to the amounts paid or payable by Customer to Winline in the 12 months before the event giving rise to liability (or INR [●] for free/trial use).

These limits do not apply to confidentiality breaches, IP infringement indemnity obligations, or amounts you owe for fees.

You are responsible for providing required notices and obtaining consents from data subjects and for the accuracy and legality of Customer Data. We will process personal data in accordance with applicable data protection laws (e.g., India DPDP Act, GDPR where applicable) and any agreed DPA.

We may use your name and logo to identify you as a customer on our site and marketing materials. You may opt out by emailing support@winlinetech.com.

Neither party is liable for failure or delay due to events beyond reasonable control (e.g., internet failures, acts of God, war, government action, labor issues), provided they use commercially reasonable efforts to mitigate.

Governing law: [Choose one: Laws of India / your jurisdiction], without regard to conflict of laws.

Disputes: Parties will first attempt good-faith resolution. Unresolved disputes will be finally settled by arbitration under the Arbitration and Conciliation Act, 1996 (if India), seat [Dharwad, Karnataka], language English and Kannada.

Injunctive relief: Either party may seek injunctive relief in a court of competent jurisdiction for misuse of IP or Confidential Information.

Legal notices to Winline:

Customer notices: Sent to your admin or registered email(s) on file.

Neither party may assign the Agreement without the other’s consent, except to an affiliate or in connection with a merger, acquisition, or sale of substantially all assets, provided the assignee assumes all obligations.

These Terms, the Order, the Privacy Policy, and any signed DPA or SLA form the entire agreement and supersede prior communications. We may update these Terms to reflect changes in law or Service. We’ll publish the latest copy on our website; customers are requested to visit this page frequently.
